List of Main Transactions

Acting as lead Saudi legal advisor to the Saudi Saline Water Conversion Corporation (SWCC) on its privatization project. SWCC is the biggest desalinisation organization in the world as it produces 80% of Saudi Arabia’s need of desalinated water equalling 20% of the world’s production. The project included in part the restructuring of the Saudi water and power generation sector in Saudi Arabia.

Advising Saudi Arabian Airlines on its Privatization project, complexities associated with being the flag carrier of KSA for 60 years and the countless number of international aspects of the project made the role extremely challenging and unique.

Advising Saudi Arabian Airlines on the financing of the $6 billion new fleet acquired in 1996. The deal involved various types of aircraft ranging from Boeing 747 to MD-90 (prior to the merger between Boeing and McDonald Douglas).

Advising on the establishment of SAMA LelTayaran, including the National Aircraft Carrier licensing, aircraft lease and registration and employment contracts. This role involved extensive liaison with General Authority of Civil Aviation (GACA) in the Kingdom of Saudi Arabia and GCC.

Advising the Saudi Grain Silos and Flour Mill Corporation on operation privatization.

Advising the Saudi Organization of Industrial Cities and Technology Zones on its BOT and ROT contracts for the various industrial cities and technology zones.

Advising an international bank on the Islamic Financing aspects relating to Murabaha financing of a publishing house and a print shop in Saudi Arabia.

Acting as Company Secretary arranging for Board meetings, the implementation of Board resolutions, shareholders’ record keeping, management of shareholders’ general assembly and Company Restructuring.

Lead advisor for commercial contracts entered into by the various departments of Saudi Arabian Airlines including purchase and sale contracts, and high value (SR 100 million plus) transactional projects in different fields such as IT, constructions and services.

Advising Saudi Arabian Airlines in reviewing and negotiating various contracts, including those related to International Commercial Transactions.

Awarded for the effective contribution and cooperation in minimizing penalties imposed on Saudi Arabian Airlines.

Appointed as the Legal Advisor for the Y2K Steering Committee

Formal member of the delegation that represented the Kingdom of Saudi Arabia to the Cape Town Convention on International Interests in Mobile Equipment and the Protocol on Matters Specific to Aircraft Equipment.
